Kane Biotech Announces Private Placement of up to $1,200,000
WINNIPEG, Manitoba (December 6, 2004) - Kane Biotech Inc. (TSX-V:KNE), a biotechnology company engaged in the development of products to prevent and disperse bacterial biofilms, announces today an offering (the "Private Placement") by way of a non-brokered private placement of up to 3,000,000 common shares (the "Shares") at a price of $0.40 per Share for aggregate proceeds of up to $1,200,000. The proceeds of the Private Placement will be used for research and development and working capital purposes.
The Private Placement will be made by the Company in reliance on applicable private placement exemptions in the Provinces of British Columbia, Saskatchewan, Alberta, Manitoba, Ontario and Quebec and is expected to close on or about January 5, 2005. The Offering is subject to receipt of all necessary approvals, including the approval of the TSX Venture Exchange.
The Company also announces today that it has retained the services of Crowthorn Capital Corporation to provide corporate advisory services. Under the terms of the twelve-month agreement, which is subject to regulatory approval, Crowthorn Capital Corporation will receive a total fee of $96,000, payable during the term of the agreement, and will be issued a total of 210,000 share purchase options at an exercise price of $0.45 per common share. The options will vest throughout the term of the agreement, with 52,500 options vesting each quarter.
